Welcome. These Terms of Service ("Terms") govern your use of this website and any services provided by Onnis Writing Services ("we," "our," or "us"). By accessing this website or engaging our services, you agree to be bound by these Terms.

1. About Our Services

Onnis Writing Services offers professional services in four primary disciplines:

• Grant writing and research — including funder research, letters of inquiry, full proposals, federal applications, logic models, and reporting.
• Partnership and sponsorship development — including sponsor decks, prospect outreach, negotiation, and stewardship.
• Web design and build — including information architecture, design, copywriting, and front-end development.
• Digital marketing and advertising — including paid media management on platforms such as Meta and Google, audience research, and reporting.

The specific scope of each engagement is detailed in an individual signed contract or statement of work.

2. Engagement & Acceptance

An engagement is formed only upon (a) the execution of a written contract or statement of work signed by both parties, and (b) receipt of any required deposit. Until both conditions are met, no service obligation exists, and either party may decline to proceed without liability.

3. Client Responsibilities

To deliver excellent work, we depend on timely cooperation from our clients. You agree to:

• Provide accurate and complete information necessary for the engagement.
• Respond to drafts, questions, and requests for information within the timeframes outlined in your contract.
• Designate a single point of contact authorized to make decisions on behalf of your organization.
• Pay invoices in accordance with the agreed schedule.
• Refrain from making material changes to the project scope without written agreement.

Delays caused by lack of cooperation may result in revised timelines and, in some cases, additional fees.

4. Fees & Payment

Fees, payment schedules, and accepted methods of payment are specified in each individual contract. Unless otherwise agreed:

• A deposit is due upon contract signing.
• Progress payments are billed at agreed milestones.
• Invoices are due within fifteen (15) days of issue.
• Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.
• Work may be paused if invoices remain unpaid beyond thirty (30) days.

5. Intellectual Property

Ownership of work product follows these general principles, subject to modification in your specific contract:

• Final delivered work (proposals, websites, sponsor decks, ad creative) — transfers to you upon full payment.
• Drafts, research notes, frameworks, and methodologies — remain our intellectual property and may be referenced or adapted for use with other clients, provided your confidential information is never disclosed.
• Pre-existing materials we bring to the engagement (templates, libraries, frameworks) remain ours.
• Third-party assets (stock images, fonts, plugins) are licensed under their respective terms; we will note any ongoing license requirements.

6. Confidentiality

We treat all client materials and information shared in the course of an engagement as confidential. We will not disclose your information to third parties without your written permission, except as required by law. We expect the same discretion in return regarding our methods, processes, and any non-public business information shared with you.

7. Outcomes & Warranties

We warrant that our services will be performed with the diligence, care, and skill expected of a professional in our field. However:

• Grant writing engagements do not include any guarantee of funding. Funding decisions belong to the funder, are influenced by many factors outside our control, and are never promised.
• Partnership engagements do not guarantee that any specific sponsor will commit; we commit to the outreach, materials, and negotiation process.
• Web engagements are warranted to be free of material defects for a period of thirty (30) days post-launch, after which any further support is provided under a separate maintenance agreement.
• Marketing and advertising engagements do not guarantee specific performance outcomes (cost-per-acquisition, return on ad spend, click-through rate, etc.), as these depend on factors including platform algorithms, competition, and audience response.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or relating to any engagement shall not exceed the total fees paid to us by the client for that specific engagement. We shall not be liable for indirect, consequential, incidental, or punitive damages, including lost profits or lost opportunities.

9. Termination

Either party may terminate an engagement in accordance with the termination provisions of the signed contract. Upon termination, you remain responsible for payment for work completed up to the date of termination. Refunds for unspent prepaid amounts are governed by our Refund Policy.

10. Use of This Website

This website is provided for informational purposes. You agree not to:

• Use the site for any unlawful purpose.
• Copy, reproduce, or republish content from the site without written permission.
• Attempt to gain unauthorized access to any portion of the site, its systems, or its data.
• Use any automated means (bots, scrapers) to interact with the site.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from (a) your breach of these Terms, (b) information you provide to us that is inaccurate or infringes third-party rights, or (c) your use of the work product in a manner outside the scope of the engagement.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Onnis Writing Services is based, without regard to its conflict-of-laws principles. Any disputes shall first be addressed through direct correspondence and, if unresolved, through mediation before any formal legal proceedings.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the website or services after changes are posted constitutes acceptance of the revised Terms. The terms in effect at the time you sign your engagement contract govern that specific engagement.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
